       Most Important Decisions passed at the AGM dated 28 March 2013

      The Board of Directors of Oman United Insurance Company SAOG have the pleasure to inform CMA, MSM and  the honorable shareholders with the most important decisions which have been passed and approved by the Annual General Meeting held on Thursday 28th March 2013, at 4:30 p.m in the company’s Head Office at Al-Khuwair:
      1.         The AGM approved the Directors report for the year ended 31st December 2012.
      2.         The AGM approved the company’s Corporate Governance Report for the year ended 31st December 2012.
      3.         The AGM approved the Auditors Report and approved the Balance Sheet and the statement of income for the financial year ended 31st December 2012.
      4.         The AGM approved the Board proposal to distribute cash dividends of 15% of paid up capital i.e 15 Baizas per share.
      5.         The AGM approved the sitting fees paid to board of directors and board's subcommittees during the year ended 31/12/2012, and approved the proposed sitting fees for the year 2013  at the amount of RO.500/- without any increase.
      6.   The AGM approved the Board remuneration fees of RO.27,900 (Rial Omani) Twenty Seven Thousands  Nine Hundred only) for the year 2012.
      7.   The AGM have been notified and approved the related party transactions during the year 2012.
      8.   The AGM approved the related party transactions, which will be executed during the year 2013.
      9.   The AGM have been notified and approved the donation of RO. 2,500 awarded to Oman Association for Disabled  and the amount of RO. 2,000 to enhance the traffic awareness program conducted during the Gulf Traffic Week, for the year 2012.
      10.     The AGM approved the Board  proposal to allocate  RO. 20,000 (RO Twenty Thousand) for social responsibility in the year 2013, and to approve the same.
      11.    The AGM approved the appointment of PriceWaterHouseCoopers as Statutory Auditors for the year 2013 and approved their fees of RO. 9,250 for annual Audit fees and RO. 3,750 for quarterly auditing fees. Accordingly the total audit fees amounting to RO. 13,000  as last year without any increase.
